1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Portal at app.t16e.com, which is provided to registered limited partners ("LPs", "you") of investment vehicles managed by The Garage.

By accessing or using the Portal, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Portal.

2. Eligibility and Access

Access to the Portal is by invitation only. Your account is provisioned by The Garage after we verify your status as an LP in one or more of our investment vehicles.

You are responsible for maintaining the confidentiality of your login credentials, including your email address, password, and any 2FA devices. You must notify us promptly at info@t16e.com of any unauthorised use of your account.

3. Use of the Portal

You may use the Portal solely for the purposes of reviewing your investment holdings, capital call and distribution history, deal documentation, and related reporting. You may not:

  • share your login credentials with any third party;
  • use the Portal to distribute, publish, or otherwise disclose confidential information to persons not authorised to receive it;
  • attempt to reverse engineer, decompile, or gain unauthorised access to any part of the Portal or its underlying systems;
  • upload or transmit any content that is unlawful, harmful, or infringes the rights of others.

4. Confidential Information

All information presented on the Portal, including deal-level information, financial data, LP information, and reports, is confidential to The Garage and its LPs. You agree to keep such information confidential and to use it only for the purpose of managing your investment.

Confidentiality obligations under any separate Subscription Agreement, Limited Partnership Agreement, or Non-Disclosure Agreement you have signed with The Garage continue to apply and take precedence over these Terms where they are more restrictive.

5. Ownership

The Portal, its content, and all intellectual property rights therein are and shall remain the property of The Garage or its licensors. Nothing in these Terms grants you any right, title, or interest in the Portal beyond the limited right of use described above.

6. Not an Offer

Nothing on the Portal constitutes an offer to sell, or a solicitation of an offer to buy, any security or investment product. Investment decisions are governed by the definitive documents (Subscription Agreements, LPAs, etc.) executed between you and the relevant investment vehicle.

7. No Warranty

The Portal is provided "as is" and "as available". While we take reasonable steps to ensure that information presented is accurate, we make no representation or warranty regarding the accuracy, completeness, or timeliness of any information on the Portal. Reports and figures on the Portal are for informational purposes only and are not audited unless expressly labelled as such.

8. Limitation of Liability

To the maximum extent permitted by law, The Garage shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with your use of the Portal, even if advised of the possibility of such damages.

Nothing in this section limits our liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.

9. Termination

We may suspend or terminate your access to the Portal at any time, including if you cease to be an LP in any vehicle we manage or if we reasonably believe you have breached these Terms. Confidentiality obligations survive termination.

You may request deletion of your account by contacting info@t16e.com. Note that we may retain records to the extent required by law or reasonably necessary for tax, regulatory, or audit purposes (see the Privacy Policy for details).

10. Changes to These Terms

We may revise these Terms from time to time. When we do, we will bump the version number displayed above and require you to re-accept the updated Terms on your next sign-in. Continued use of the Portal after the effective date constitutes acceptance.

11. Governing Law

2. What Personal Data We Process

We process the following categories of personal data about you:

  • Identity data: legal name, preferred name, email address(es), country of tax residence, entity name if you invest through a corporate vehicle.
  • Investment data: capital commitments, called and distributed amounts, holding periods, transaction history in each investment vehicle.
  • Account data: your Portal password hash (never plaintext), 2FA configuration and encrypted TOTP secret, backup code hashes, session identifiers, versions of these documents that you accepted, and timestamps thereof.
  • Usage data: IP address, user-agent, times of login attempts, pages visited within the Portal. Retained for security purposes.
  • Correspondence: emails you send us and our replies.

3. Sources

Most personal data comes directly from you (during onboarding) or from the intermediary you invested through. Investment data comes from The Garage's internal records and the administrator of the relevant vehicle.

4. Purposes and Legal Bases

We process your personal data for the following purposes:

  • Providing the Portal service — including authenticating you, displaying your investment holdings, sending you transactional emails (sign-in links, 2FA codes, notifications). Legal basis: performance of a contract or, where a distinct contract is absent, our legitimate interest in enabling you to manage your investment.
  • Investor reporting — issuing periodic reports, capital call and distribution notices. Legal basis: contract with the relevant investment vehicle.
  • Regulatory compliance — anti-money laundering, know-your-customer, tax reporting. Legal basis: compliance with a legal obligation.
  • Security — detecting and preventing unauthorised access, retaining audit logs. Legal basis: our legitimate interest in protecting the Portal and other LPs.
  • Communications — responding to your inquiries. Legal basis: legitimate interest.

5. Recipients

We may share your personal data with:

  • Service providers who host or operate the Portal on our behalf (currently hosted at VDSina in [TODO: VDSina datacenter country]).
  • The administrator, auditors, and legal counsel of the relevant investment vehicles.
  • Regulators and tax authorities, where required by law.

We do not sell your personal data to third parties. We do not use it for advertising.

6. International Transfers

  • passwords hashed with argon2id (never stored in plaintext);
  • 2FA secrets encrypted at rest with AES-256-GCM;
  • TLS for all data in transit;
  • session cookies flagged HttpOnly and SameSite=Lax;
  • rate-limiting on sign-in attempts;
  • audit logging of security-relevant events.

No system is perfectly secure. If you suspect unauthorised access to your account, contact us immediately at info@t16e.com.

10. Cookies

The Portal uses a single strictly-necessary cookie:

  • `lp_sid` — your session identifier, HttpOnly, SameSite=Lax, expires 30 days after last use. Deleting it signs you out.

We do not use analytics or advertising cookies.

We may revise this Policy from time to time. When we do, we will bump the version number displayed above and require you to re-accept the updated Policy on your next sign-in.
